In this contract you won\u2019t find any complicated legal terms or long passages of unreadable text. We\u2019ve no desire to trick you into signing something that you might later regret. What we do want is what\u2019s best for both parties, now and in the future.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"so-in-short\">\n<h2> SO IN SHORT <\/h2>\n<div class=\"text-content\">\n<p>So in short;<\/p>\n<p>You [customer name], located at [customer address] are hiring us [company name] located at [company address] to<\/p>\n<ul>\n<li>Design and develop a web site.<\/li>\n<li>Upload website using FTP (if necessary).<\/li>\n<li>Support website changes and updates for 30 days.<\/li>\n<li>Submit business info using Moz Local<\/li>\n<\/ul>\n<p>For the estimated total price of <strong>$800<\/strong>&nbsp;as outlined in our previous correspondence.<\/p>\n<p>Of course it\u2019s a little more complicated, but we\u2019ll get to that.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"what-do-both-parties-agree-to-do\">\n<h2> WHAT DO BOTH PARTIES AGREE TO DO <\/h2>\n<div class=\"text-content\">\n<p><strong>You<\/strong>:<\/p>\n<ul>\n<li>You have the authority to enter into this contract on behalf of yourself, your company or your organisation.<\/li>\n<li>You\u2019ll give us everything we need to complete the project as and when and in the format we need it.<\/li>\n<li>You\u2019ll review our work, provide feedback and approval in a timely manner too.<\/li>\n<li>Deadlines work two ways, so you\u2019ll also be bound by dates we set together.<\/li>\n<li>You also agree to stick to the payment schedule set out at the end of this contract.<\/li>\n<\/ul>\n<p><strong>Us<\/strong>:<\/p>\n<ul>\n<li>We have the experience and ability to do everything we\u2019ve agreed with you and we\u2019ll do it all in a professional and timely manner.<\/li>\n<li>We\u2019ll endeavor to meet every deadline that\u2019s set and on top of that we'll maintain the confidentiality of everything you give us.<\/li>\n<\/ul><\/div>\n<\/section>\n<section id=\"design\">\n<h2> DESIGN <\/h2>\n<div class=\"text-content\">\n<p>We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs using predominantly HTML and CSS.<\/p>\n<p>We won\u2019t waste time mocking up every template as a static visual. We may use static visuals to indicate a look-and-feel direction (color, texture and typography.) We call that \u2018design atmosphere.\u2019<\/p>\n<p>You\u2019ll have plenty of opportunities to review our work and provide feedback. We\u2019ll share our working Google Drive \/ Dropbox folder&nbsp;with you and have regular, possibly daily contact.<\/p>\n<p>If, at any stage, you\u2019re not happy with the direction our work is taking, you\u2019ll pay us in full for everything we\u2019ve produced until that point and cancel this contract.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"text-content\">\n<h2> TEXT CONTENT <\/h2>\n<div class=\"text-content\">\n<p>If you have a current website, or content, we will take from the source material to fill in the content on the site we are developing. Unless otherwise stated, you grant us full rights to copy any text from any source of yours to use for the new design.<\/p>\n<p>If you do not wish to have us copy the text from an old site to a new site, we will not be responsible for producing original content for free.<\/p>\n<p>You will be responsible for any and all content required to complete the website. Please produce this content in a timely manner so as not to hinder the time frame of completion.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"photographs\">\n<h2> PHOTOGRAPHS <\/h2>\n<div class=\"text-content\">\n<p>You should supply photographs in a high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you\u2019d like us to search for photographs for you, we can provide a separate estimate for that. &nbsp;Please provide all images in a timely manner.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"browser-testing\">\n<h2> BROWSER TESTING <\/h2>\n<div class=\"text-content\">\n<p>Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person\u2019s experience of a design should be appropriate to the capabilities of a browser or device.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"desktop-browser-testing\">\n<h2> DESKTOP BROWSER TESTING <\/h2>\n<div class=\"text-content\">\n<p>DESKTOP BROWSER TESTING<br \/>We test our work in current versions of major desktop browsers including those made by:<\/p>\n<ul>\n<li>Apple (Safari)<\/li>\n<li>Google (Chrome)<\/li>\n<li>Microsoft (Internet Explorer)<\/li>\n<\/ul>\n<p>If you need an enhanced design for an older browser, we can provide a separate estimate for that.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"mobile-browser-testing\">\n<h2> MOBILE BROWSER TESTING <\/h2>\n<div class=\"text-content\">\n<p>Testing popular small-screen devices is essential in ensuring that a person\u2019s experience of a design is appropriate to the capabilities of the device they\u2019re using.<\/p>\n<p>We test our work in:<\/p>\n<ul>\n<li>iOS: Safari<\/li>\n<li>Google Chrome Android 4.x<\/li>\n<\/ul>\n<p>We currently don\u2019t test Blackberry, Opera Mini\/Mobile, Windows Phone or other mobile browsers. If you need us to test using these, we can provide a separate estimate for that.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"technical-support\">\n<h2> TECHNICAL SUPPORT <\/h2>\n<div class=\"text-content\">\n<p>We\u2019re not a website hosting company so we don\u2019t offer support for website hosting, email or other services relating to hosting.<\/p>\n<p>You may already have professional hosting and you might even manage that hosting in-house; if you do, great. If you don\u2019t, we can set up an account for you at one of our preferred hosting providers.<\/p>\n<p>We can set up your site on a server, plus any statistics software such as Google Analytics. Then, the updates to, and management of that server will be up to you and your web hosting provider.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"changes-and-revisions-to-terms\">\n<h2> CHANGES AND REVISIONS TO TERMS <\/h2>\n<div class=\"text-content\">\n<p>We know from experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your earliest ideas.<\/p>\n<p>We don\u2019t want to limit your ability to change your mind. The price at the beginning of this contract is based on everything you\u2019ve told us you want to achieve, but we\u2019re happy to be flexible.<\/p>\n<p>If you want to change your mind or add anything new, that won\u2019t be a problem as we\u2019ll provide a separate estimate for that.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"legal-stuff\">\n<h2> LEGAL STUFF <\/h2>\n<div class=\"text-content\">\n<p>We can\u2019t guarantee that our work will be error-free and so we can\u2019t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you\u2019ve advised us of them.<\/p>\n<p>Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"copyrights\">\n<h2> COPYRIGHTS <\/h2>\n<div class=\"text-content\">\n<p>First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you\u2019ve permission to use them.<\/p>\n<p>Then, when your final payment has cleared, copyright will be automatically assigned as follows:<\/p>\n<p>You\u2019ll own the visual elements that we create for this project. We\u2019ll give you source files and finished files and you should keep them somewhere safe as we\u2019re not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.<\/p>\n<p>We\u2019ll own the unique combination of these elements that constitutes a complete design and we\u2019ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.<\/p>\n<p>We love to show off our work and share what we\u2019ve learned with other people, so we reserve the right, with your permission, to display and link to your project as part of our portfolio and to write about it on websites, in magazine articles and in books.<\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"payments\">\n<h2> PAYMENTS <\/h2>\n<div class=\"text-content\">\n<p>We\u2019re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we\u2019re also sure you\u2019ll want to stay friends, you agree to stick tight to the following payment schedule.<\/p>\n<p><strong>20% due upfront.<\/strong><br \/><strong>80% due upon reception of the final invoice.<\/strong><\/p>\n<\/p><\/div>\n<\/section>\n<section id=\"wheres-all-the-horrible-small-print\">\n<h2> WHERE\u2019S ALL THE HORRIBLE SMALL PRINT? <\/h2>\n<div class=\"text-content\">\n<p>Just like a parking ticket, you can\u2019t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed.
